MEMBERSHIP TERMS, LIABILITY WAIVER, AND RISK ACKNOWLEDGMENT AGREEMENT
IMPORTANT LEGAL NOTICE: PLEASE READ THIS ENTIRE DOCUMENT CAREFULLY BEFORE SIGNING OR AGREEING TO THESE TERMS. THIS AGREEMENT CONTAINS IMPORTANT LEGAL PROVISIONS THAT AFFECT YOUR RIGHTS.
BY SIGNING THIS DOCUMENT OR CLICKING TO ACCEPT THESE TERMS, YOU ARE ENTERING INTO A LEGALLY BINDING AGREEMENT AND WAIVING CERTAIN LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE FOR CERTAIN CLAIMS.
PARTIES TO THIS AGREEMENT
This Membership Terms, Liability Waiver, and Risk Acknowledgment Agreement ("Agreement") is entered into between you (whether participating as a member, guest, or visitor) ("Participant," "you," "your") and W Picklenation LLC, doing business as Bellevue Pickleball Club ("Club," "we," "our," "us").
For purposes of this Agreement, "Club" includes W Picklenation LLC and all of its affiliates, subsidiaries, parent companies, officers, directors, members, managers, employees, contractors, agents, volunteers, consultants, insurers, legal counsel, successors, assigns, and representatives, as well as their respective spouses, heirs, executors, and personal representatives.
The term "Participant" includes you and extends to your spouse or domestic partner, children, and any other minors under your legal guardianship or for whom you have authority to provide consent, as well as your heirs, personal representatives, beneficiaries, and assigns.
SCOPE AND CONSIDERATION
This Agreement governs your relationship with the Club and is entered into as consideration for your permission to:
Obtain membership at Bellevue Pickleball Club
Access and use the Club's facilities and premises
Participate in any activities, programs, or services offered by the Club
Use any equipment, products, or amenities provided by the Club
DEFINITIONS
"Facilities" encompasses all areas owned, operated, leased, or controlled by Bellevue Pickleball Club, including but not limited to: pickleball courts (indoor and outdoor), buildings, lobbies, reception areas, locker rooms, restrooms, shower facilities, storage areas, corridors, mezzanines, food service areas, parking areas, walkways, entrances, exits, and all other interior and exterior spaces.
"Activities" includes all recreational, competitive, educational, and social programs offered by or conducted at the Club, including but not limited to: pickleball games and matches, tournaments and competitions, leagues and organized play, instructional clinics and lessons, camps and training programs, social events and parties, corporate functions, charitable events, equipment usage, observation of activities, and any other services, programs, or events sponsored, endorsed, or facilitated by the Club.
ACKNOWLEDGMENT AND CONSENT
BY EXECUTING THIS AGREEMENT (WHETHER BY HANDWRITTEN SIGNATURE, ELECTRONIC SIGNATURE, OR DIGITAL ACCEPTANCE), YOU CONFIRM THAT YOU HAVE:
Read and fully understand all terms and provisions contained herein
Had adequate opportunity to review this Agreement and seek legal counsel if desired
Voluntarily agreed to be bound by all terms without coercion or undue influence
Acknowledged that you are waiving important legal rights
Additionally, by agreeing to these terms, you acknowledge that you have reviewed and consent to our Privacy Policy, which can be found at our website and includes your express authorization for us to contact you via email, telephone, automated calling systems, and text messaging services using the contact information you have provided, subject to your right to opt-out as described in our Privacy Policy.
CLUB POLICIES AND OPERATIONAL GUIDELINES
General Operating Principles
At Bellevue Pickleball Club, we maintain comprehensive policies, procedures, rules, and operational guidelines ("Club Rules") designed to ensure the safe, enjoyable, and equitable use of our Facilities and Activities for all members and guests. These Club Rules apply to your conduct at all times while on the Facilities, participating in Activities, or using any Club services, equipment, or amenities.
As a member or guest, you are responsible for familiarizing yourself with and adhering to all Club Rules and the terms of this Agreement at all times. The current version of this Agreement is available on our website and at the Club's front desk. You may request a printed copy at any time. Additional rules and guidelines may be posted throughout the Facilities or communicated to you through other means.
We reserve the right to modify, update, or amend the terms of this Agreement, including our Club Rules and operational policies, at any time without prior notice. Your continued membership or use of the Facilities and Activities following any such changes constitutes your acceptance of the modified terms. However, any changes to the liability waiver, risk assumption, or indemnification provisions of this Agreement will require your express written or electronic consent.
Enforcement and Consequences
Violation of any provision of this Agreement or any Club Rules may result in immediate suspension or permanent termination of your membership, access privileges, or participation rights at our sole discretion. Such enforcement actions may be taken without refund of any fees, dues, or other payments you have made to the Club.
Court Reservation System
Court reservations operate on a first-come, first-served basis and are subject to availability. We do not guarantee court availability at any specific date or time. The Club reserves the right to modify, restrict, cancel, or suspend court reservations to accommodate special events, tournaments, corporate functions, maintenance activities, or other operational needs. While we will make reasonable efforts to provide advance notice of such scheduling changes, we are not obligated to do so.
Membership and Payment Policies
Monthly Membership Cancellations: To cancel a monthly membership, you must provide written notice to Club management at least seven (7) days before your next scheduled billingdate. Failure to provide timely notice will result in processing of the next monthly payment. No partial refunds will be provided for monthly membership fees upon cancellation.
Annual Membership Cancellations: Annual memberships may be cancelled with full refund only if written cancellation notice is provided within seven (7) days of the initial membership signup date. After this seven-day period expires, no refunds will be provided for annual membership payments regardless of the reason for cancellation.
Full-Ride(23 Months) Membership Cancellations: Full-Ride memberships may be cancelled with full refund only if written cancellation notice is provided within seven (7) days of the initial membership signup date. After this seven-day period expires, no refunds will be provided for annual membership payments regardless of the reason for cancellation.
Membership Suspension: Each membership account may be suspended once per twelve-month period. Suspension requests must be submitted in writing to Club management. A eighty-dollar ($80) administrative fee applies to each suspension and reactivation. Suspension requests must be submitted at least 5 business days before the next billing date to avoid payment processing. Memberships may be suspended for up to one (1) month, after which they will automatically reactivate. Membership suspension is not availble for annual or Full-Ride(23 Months) Membership.
Membership Reactivation: When reactivating a suspended monthly membership, you will be subject to current membership pricing, which may differ from the rate in effect when the membership was suspended. If the Club has reached its membership capacity limit, your reactivated membership will be placed on a waiting list until space becomes available. We cannot guarantee when reactivation will occur.
Membership Modifications: Requests to downgrade membership levels will take effect at the beginning of the next billing cycle. All membership changes must be requested in writing to Club management.
MEMBER AND GUEST CONDUCT STANDARDS
As a condition of your permission to use the Facilities, participate in Activities, and access Club services and amenities, you agree to maintain the following standards of conduct:
Sportsmanship and Fair Play: You will demonstrate good sportsmanship at all times and will not engage in unsportsmanlike conduct or encourage such behavior in others. You will exhibit fairness, honesty, and integrity in all interactions and activities.
Safety and Wellbeing: You will not engage in any behavior that could endanger the health, safety, or wellbeing of yourself or others. You accept responsibility for your own actions and their consequences.
Respectful Communication: You will refrain from using obscene, offensive, or inappropriate language or gestures. You will treat all members, guests, staff, and visitors with respect and courtesy.
Ethical Standards: You will maintain the highest standards of ethical behavior and will not use Club records, name, logos, trademarks, or materials for personal gain or unauthorized purposes.
Supervision of Minors: You will properly supervise any children or minors you bring to the Facilities or who participate in Activities under your supervision or authority.
Inclusive Environment: You will contribute to an environment free from fear, discrimination, harassment, abuse, or intimidation of any kind.
Instruction Policies: You will not provide private instruction to other members or guests for compensation without express written authorization from Club management. You will not solicit other Club participants for private lessons to be conducted at other locations.
Compliance: You will follow all Club Rules, policies, procedures, and requirements established by Bellevue Pickleball Club.
Violation of these conduct standards, or any other provisions of this Agreement, may result in immediate suspension or termination of your membership, access privileges, or participation rights at our sole discretion, without refund of any fees or payments made.
MEDIA RIGHTS AND PUBLICITY
By entering into this Agreement, you grant Bellevue Pickleball Club and its authorized representatives the unrestricted right to use, reproduce, publish, and distribute photographs, videos, audio recordings, or other media capturing your likeness, voice, or image while on the Facilities or participating in Activities.
This grant includes the right to use such media in any format or medium, including but not limited to: promotional materials, advertising campaigns, social media content, website materials, television broadcasts, print publications, digital presentations, news releases, brochures, signage, and any other marketing or promotional purposes.
You understand that your likeness may appear in materials available to the general public and may be subject to reasonable editing or modification. You waive any right to inspect or approve the finished materials or content in which your likeness appears.
You release and discharge the Club from any claims, demands, or actions arising from the use of such media, including claims for invasion of privacy, defamation, or compensation. You acknowledge that all media in which you appear becomes the exclusive property of the Club, and you assign any copyright or other intellectual property rights you may have in such materials to the Club.
This authorization extends to any children or minors under your supervision or for whom you have authority to provide consent. This grant is binding upon you and your heirs, legal representatives, and assigns, and inures to the benefit of the Club's heirs, representatives, licensees, and assigns.
COMMUNICATION POLICIES
You affirm that all contact information provided to Bellevue Pickleball Club, including mailing addresses, telephone numbers, cellular phone numbers, and email addresses, is accurate and has been provided voluntarily. Subject to applicable law, you consent to the Club and its agents, affiliates, and authorized representatives contacting you at any address, phone number, or email address you have provided.
You understand that you may receive informational communications, promotional materials, appointment reminders, and alerts from the Club via SMS text messaging services. Participation in text messaging programs is voluntary, and standard messaging rates and fees may apply as determined by your cellular service provider. The Club is not responsible for any charges imposed by your cellular provider. You may discontinue text messaging services at any time by replying "STOP" to any message.
You acknowledge that you have carefully read and understand this communication policy as part of the overall liability waiver and release agreement.
HEALTH, SAFETY, AND WELLNESS
The health and safety of our members and guests is our primary concern. While our Club Rules and safety protocols are designed to minimize risks, Bellevue Pickleball Club cannot eliminate all potential hazards or guarantee that you will not sustain injuries, illnesses, or other harm associated with your use of the Facilities, participation in Activities, or use of Club equipment, products, or services.
You acknowledge and agree that you must use appropriate clothing, footwear, and protective equipment when participating in Activities and while on the Facilities. You accept personal responsibility for ensuring proper hydration, nutrition, and physical preparation for your participation in Activities. This responsibility extends to any children or minors under your supervision.
COMPREHENSIVE RISK ACKNOWLEDGMENT
In consideration of being permitted to become a member of Bellevue Pickleball Club, to use the Facilities, to participate in Activities, and to use Club equipment, products, and services, and with full knowledge and understanding of the potential risks involved, you, on behalf of yourself and any children or minors under your supervision or for whom you have authority to provide consent, acknowledge, understand, and agree to each of the following:
Inherent Risks: Although Bellevue Pickleball Club has implemented reasonable safety measures and provided appropriate facilities and equipment for pickleball and related activities, including games, tournaments, leagues, classes, clinics, special events, and other programs, certain risks are inherent in these activities and cannot be completely eliminated or avoided.
Physical and Mental Demands: The Facilities and Activities offered by the Club, including use of the Facilities, participation in Activities, and use of equipment, products, or services, may be physically and mentally demanding, potentially dangerous, and involve risks of injury, illness, disease, property damage, and death.
Voluntary Participation: You assert that your participation in all Club Activities is entirely voluntary and that, with full awareness and knowledge of the risks involved, you knowingly and willingly assume all such risks for yourself and on behalf of any children or minors under your supervision or for whom you have authority to provide consent.
Specific Risk Categories: The dangers, hazards, and risks associated with the Facilities, Activities, and Club operations include, but are not limited to:
Physical hazards related to pickleball courts, lobbies, entrances, walkways, corridors, locker rooms, restrooms, shower facilities, storage areas, parking areas, food service areas, and all other interior and exterior spaces
Slips, trips, falls, collisions, and loss of balance or footing, including slip-and-fall incidents
Equipment malfunction, failure, or improper use by yourself or others
Property theft, damage, or misuse, including incidents involving vehicles, equipment, lockers, personal belongings, or information systems
Other accidents or incidents that may result in injury, illness, property damage, or other harm to you, children or minors under your supervision, or other members, guests, or individuals
Potential Injuries and Damages: Injuries or damages that may occur include, but are not limited to:
Personal physical injuries ranging from minor to severe, including bodily harm, emotional trauma, mental distress, economic losses, and property damage affecting you, children or minors under your supervision, or other members, guests, or individuals
Serious medical conditions including death, paralysis, brain injury, cardiac events, strokes, disfigurement, heat-related illnesses, dehydration, concussions, hearing impairment, muscle or ligament damage, joint injuries, bone fractures, allergic reactions, burns, sprains, bruises, and abrasions
Aggravation or worsening of pre-existing medical conditions, injuries, illnesses, or health problems
Communicable diseases and illnesses, including exposure to or transmission of COVID-19, influenza, common cold, other coronaviruses, MRSA, bacterial infections, food-borne illnesses, allergic reactions, choking hazards, or other infectious diseases, potentially requiring hospitalization, quarantine, or resulting in long-term health consequences
Pain and suffering, loss of companionship, emotional distress, embarrassment, or psychological trauma
Financial losses including lost wages, reduced earning capacity, and medical expenses
Loss, theft, or damage to personal property or confidential information
Communicable Disease Risks: You acknowledge that you and any children or minors under your supervision may be exposed to communicable diseases and illnesses through participation in Activities and use of the Facilities. With full knowledge and awareness of these risks, you voluntarily assume the risk of exposure to, transmission of, or infection with any communicable diseases or illnesses, including but not limited to COVID-19, influenza, common cold, other coronaviruses, MRSA, bacterial infections, food-borne illnesses, or other infectious diseases, and the potential consequences including quarantine, hospitalization, long-term health effects, or death.
Negligence Acknowledgment: You understand and acknowledge that risks and injuries associated with use of the Facilities and participation in Activities may be caused, in whole or in part, by the negligence of Bellevue Pickleball Club, yourself, minors (whether under your supervision or not), other members or guests, or other individuals or entities. YOU FULLY UNDERSTAND AND, WITH COMPLETE AWARENESS AND KNOWLEDGE OF THE POTENTIAL RISKS, VOLUNTARILY AND WILLINGLY ASSUME ALL RISKS AND POTENTIAL INJURIES, INCLUDING WITHOUT LIMITATION RISKS AND INJURIES CAUSED BY THE NEGLIGENCE OF BELLEVUE PICKLEBALL CLUB, YOURSELF, MINORS (WHETHER UNDER YOUR SUPERVISION OR NOT), OTHER MEMBERS OR GUESTS, OR OTHER INDIVIDUALS OR ENTITIES.
COMPREHENSIVE LIABILITY RELEASE AND WAIVER
ON BEHALF OF YOURSELF, ANY CHILDREN AND OTHER MINORS UNDER YOUR SUPERVISION OR FOR WHOM YOU HAVE AUTHORITY TO PROVIDE CONSENT, YOUR HEIRS, NEXT OF KIN, PERSONAL REPRESENTATIVES, AND ASSIGNS, YOU HEREBY ASSUME ALL RISK AND LIABILITY IN CONNECTION WITH YOUR USE OF THE FACILITIES, PARTICIPATION IN ANY ACTIVITIES, AND USE OF ANY CLUB EQUIPMENT, PRODUCTS, SERVICES, OR AMENITIES.
YOU HEREBY RELEASE, WAIVE, DISCHARGE, AND COVENANT NOT TO BRING ANY LEGAL CLAIM OR ACTION IN ANY COURT OR FORUM AGAINST W PICKLENATION LLC DBA BELLEVUE PICKLEBALL CLUB, INCLUDING ALL OF ITS SUBSIDIARIES, PARENT COMPANIES, AFFILIATES, AND ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, MEMBERS, MANAGERS, EMPLOYEES, AGENTS, CONTRACTORS, VOLUNTEERS, INSURERS, ATTORNEYS, SUCCESSORS, ASSIGNS, REPRESENTATIVES, SPOUSES, EXECUTORS, PERSONAL REPRESENTATIVES, AND HEIRS (COLLECTIVELY, THE "RELEASED PARTIES" AND INDIVIDUALLY A "RELEASED PARTY") FROM ANY AND ALL LIABILITY, CLAIMS, DEMANDS, ACTIONS, OR CAUSES OF ACTION ARISING FROM OR RELATED TO YOUR USE OF THE FACILITIES, PARTICIPATION IN ANY ACTIVITIES, AND USE OF ANY CLUB EQUIPMENT, PRODUCTS, SERVICES, OR AMENITIES.
THIS COMPREHENSIVE RELEASE INCLUDES A COMPLETE WAIVER OF THE RELEASED PARTIES' LIABILITY FOR ANY AND ALL LOSSES, DAMAGES, CLAIMS, LAWSUITS, DEMANDS, ACTIONS, EXPENSES (INCLUDING ATTORNEYS' FEES), AND CAUSES OF ACTION OF ANY KIND, INCLUDING BUT NOT LIMITED TO ANY LOSS, DAMAGE, CLAIM, OR DEMAND ARISING FROM PHYSICAL, MENTAL, OR EMOTIONAL INJURY, ILLNESS, OR SICKNESS (INCLUDING WITHOUT LIMITATION COVID-19 OR OTHER COMMUNICABLE DISEASES, INFECTIONS, OR ILLNESSES) TO ANY PERSON, OR DAMAGE TO PROPERTY, OR RESULTING IN PHYSICAL, MENTAL, OR EMOTIONAL INJURY, ILLNESS, SICKNESS, OR DEATH (INCLUDING WITHOUT LIMITATION RELATED TO COVID-19 OR OTHER COMMUNICABLE DISEASES, INFECTIONS, OR ILLNESSES) OF YOU OR ANY CHILDREN OR MINORS UNDER YOUR SUPERVISION OR FOR WHOM YOU HAVE AUTHORITY TO PROVIDE CONSENT, ARISING FROM OR RELATED IN ANY WAY TO YOUR USE OF THE FACILITIES, PARTICIPATION IN ANY ACTIVITIES, OR USE OF ANY CLUB EQUIPMENT, PRODUCTS, SERVICES, OR AMENITIES, WHETHER:
(I) ALLEGEDLY CAUSED BY ANY OF THE RELEASED PARTIES, OTHER MEMBERS, GUESTS, MINORS (WHETHER UNDER YOUR SUPERVISION OR NOT), OR OTHER INDIVIDUALS OR ENTITIES;
(II) ALLEGEDLY CAUSED BY THE NEGLIGENCE, MISCONDUCT, OR OTHER ACTS OR OMISSIONS OF ANY OF THE RELEASED PARTIES, OTHER MEMBERS, GUESTS, MINORS (WHETHER UNDER YOUR SUPERVISION OR NOT), OR OTHER INDIVIDUALS OR ENTITIES;
(III) CLAIMS ARE BROUGHT BY YOU OR OTHER MEMBERS, GUESTS, MINORS (WHETHER UNDER YOUR SUPERVISION OR NOT), OR OTHER INDIVIDUALS OR ENTITIES; OR
(IV) CLAIMS ARE BROUGHT AGAINST ANY OF THE RELEASED PARTIES, OTHER MEMBERS, GUESTS, MINORS (WHETHER UNDER YOUR SUPERVISION OR NOT), OR OTHER INDIVIDUALS OR ENTITIES.
MINOR PARTICIPANT RELEASE AND WAIVER
If you are the parent, legal guardian, or other adult responsible for minors who will participate in Activities at the Facilities or use any Club equipment, products, services, or amenities under your supervision, and with full knowledge and awareness of the risks and legal implications of this waiver and release, you acknowledge that you understand the nature of the Activities offered by Bellevue Pickleball Club, the minors' experience and capabilities, and you believe the minors are qualified, competent, in good health, and in proper physical condition to participate in such Activities.
In consideration of the minors being permitted to use the Facilities, participate in Activities, and use Club equipment, products, services, or amenities, and with full knowledge and awareness of the potential risks and injuries, you hereby assume all risk and liability for the minors' participation and use, and release, waive, discharge, covenant not to sue, and agree to defend, indemnify, and hold harmless the Released Parties from any and all liability, claims, demands, losses, or damages arising from the minors' participation, including any damages, losses, or injuries caused by the minors, including without limitation those caused or alleged to be caused in whole or in part by the negligence of Bellevue Pickleball Club, minors (whether under your supervision or not), other members or guests, or other individuals or entities.
You further agree that if, despite this release, you, the minors, or anyone acting on behalf of the minors makes a claim against any of the Released Parties, you will defend, indemnify, and hold harmless the Released Parties against any losses, damages, liabilities, litigation expenses (including expert witness fees), attorneys' fees, costs, or other expenses that may be incurred as a result of any such claim.
FOOD AND BEVERAGE LIABILITY WAIVER
In consideration of being permitted to consume food products and beverages on the Facilities and while participating in Activities, and in addition to all other waivers, releases of liability, and risk assumptions contained in this Agreement, on behalf of yourself, any children and other minors under your supervision or for whom you have authority to provide consent, your heirs, next of kin, personal representatives, and assigns, you hereby assume all risk and liability in connection with the preparation, service, and consumption of food products and beverages provided at the Facilities or during Activities.
This assumption of risk includes, without limitation, prepackaged food and beverages, food and beverages brought from outside the Facilities by you or other individuals, and food and beverages prepared on or off the Facilities or provided by third-party vendors. You release, waive, discharge, and covenant not to bring any claim against the Released Parties arising from or related to the preparation, service, or consumption of any food and beverages on the Facilities or while participating in Activities.
This food and beverage waiver releases the Released Parties from any and all liabilities, losses, claims, litigation, suits, demands, actions, expenses (including attorneys' fees), and causes of action arising from physical, mental, or emotional injury, illness, or sickness (including without limitation food poisoning, food-borne illnesses, allergic reactions, choking hazards, or infections) or property damage resulting in physical, mental, or emotional injury, illness, sickness, or death related to food and beverage consumption.
DEFINITION OF NEGLIGENCE
You understand that the term "Negligence" as used throughout this Agreement includes but is not limited to Bellevue Pickleball Club's:
Negligent design, construction (including renovation or modification), repair, maintenance, operation, supervision, monitoring, or management of the Facilities and Activities;
Negligent failure to warn of or remove hazardous, unsafe, dangerous, or defective conditions;
Negligent failure to provide or maintain the Facilities or conduct Activities in a reasonably safe condition;
Negligent provision of or failure to provide emergency medical care or assistance;
Negligent hiring, selection, training, instruction, certification, supervision, or retention of employees, independent contractors, or volunteers;
Negligent collection, use, disclosure, or storage of personal, sensitive, or confidential information (including negligent failure to implement or maintain appropriate information security measures); or
Any other negligent acts or omissions.
HEALTH CONDITIONS, INSURANCE, AND MEDICAL TREATMENT
On behalf of yourself and any children or minors under your supervision or for whom you have authority to provide consent, you represent and warrant that you are each physically and mentally capable and competent to participate in all Activities at Bellevue Pickleball Club and have no known health problems, restrictions, medical conditions (including known cardiac, respiratory, or nervous system conditions), or symptoms of communicable illness, infection, or disease (including COVID-19) that might jeopardize your health or safety or the health or safety of others during participation in Activities at the Facilities.
You further represent that you have consulted with appropriate healthcare providers (and healthcare providers for any children or minors under your supervision or for whom you have authority to provide consent) and have been medically cleared to participate in all Activities offered at the Club.
You acknowledge that you have adequate health insurance coverage or readily available financial resources to cover the costs of medical treatment in the event of injury, illness, or other health-related incidents. You agree to be personally responsible for all costs associated with any emergency or other medical care that you (or any children or minors under your supervision or for whom you have authority to provide consent) may require while participating in Activities at the Facilities.
In addition to other indemnification obligations contained in this Agreement, you further agree to indemnify, release, waive, and hold harmless Bellevue Pickleball Club from the cost of any emergency or other medical care that you or such children or minors receive as a result of participation in Activities at the Facilities, whether such medical care is requested by you or by Club personnel.
DEFENSE AND INDEMNIFICATION AGREEMENT
On behalf of yourself and any children or minors under your supervision or for whom you have authority to provide consent, your heirs, next of kin, personal representatives, and assigns, you agree to indemnify, defend, and hold harmless the Released Parties from and against any and all claims, losses, damages, lawsuits, costs, expenses (including attorneys' fees), and liabilities, including any losses or claims alleged to be caused by the negligence, misconduct, or other acts or omissions of any of the Released Parties, other members or guests, minors (whether under your supervision or not), or other individuals or entities, asserted against the Released Parties by any other person (including but not limited to other members, guests, minors, or other individuals or entities) arising from, resulting from, or caused by your use of the Facilities, participation in Activities, consumption or preparation of food or beverages, or use of any Club equipment, products, services, or amenities by you, children or minors under your supervision or for whom you have authority to provide consent, other members, guests, minors (whether under your supervision or not), or other individuals or entities.
GENERAL LEGAL PROVISIONS
Severability: You expressly agree that this Agreement is intended to be as comprehensive and inclusive as permitted by applicable law. If any provision of this Agreement is determined to be void, invalid, or unenforceable, the remaining provisions shall remain in full force and effect.
Entire Agreement: This Agreement contains the complete understanding between the parties regarding the subject matter herein and supersedes all prior negotiations, representations, or agreements relating to such subject matter. This Agreement may not be altered, modified, amended, waived, or supplemented except by a written agreement signed by both parties or their duly authorized representatives.
Electronic Execution: This Agreement may be executed, completed, and delivered electronically, and electronic signatures shall have the same legal effect as handwritten signatures.
Binding Effect: This Agreement shall be binding upon your heirs, executors, administrators, successors, personal representatives, and assigns.
Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Washington, without regard to conflict of law principles.
Jurisdiction: Any legal action or proceeding arising under this Agreement shall be brought exclusively in the courts of King County, Washington, and you consent to the jurisdiction of such courts.
ACKNOWLEDGMENT AND SIGNATURE
By signing this Agreement (whether by handwritten signature, electronic signature, or digital acceptance), you acknowledge and confirm that:
You have read and fully understand the entire Agreement and all of its provisions;
You are at least eighteen (18) years of age and legally competent to provide consent;
You have been adequately informed of the risks involved and provide your voluntary consent;
You are signing this Agreement as your own free act and deed with full intention to be bound by its terms;
You are acting free from any coercion, duress, inducement, or misrepresentation;
You understand that if you choose not to sign this Agreement, you are not required to participate in Activities, use the Facilities, or access Club equipment or services;
You have had adequate opportunity to seek legal counsel regarding this Agreement;
You are voluntarily entering into this Agreement in consideration of the opportunity for yourself or children/minors under your supervision to participate in Activities, use the Facilities, and access Club equipment, products, services, or amenities;
You acknowledge that you are waiving important legal rights and remedies that may otherwise be available to you or to children/minors under your supervision;
You agree to and sign this Agreement freely and voluntarily without duress;
No oral representations apart from this written Agreement have been made to you.
